Public Offer for the Provision of Polyzon Studio Services

1. General provisions

1.1. This document is a public offer in accordance with Article 437(2) of the Civil Code of the Russian Federation.

1.2. The offer is accepted by paying for a Token Pack (Article 438(3) of the Civil Code). Before paying, the Customer separately confirms agreement with the offer by checking a box in the payment form. The Contract is deemed concluded from the moment of payment.

1.3. The Customer may be any person who has accepted the Service's User Agreement. Persons aged 14 to 18 pay for Packs within the limits of Article 26 of the Civil Code or with the consent of a legal representative.

1.4. Matters not governed by the Contract are subject to the User Agreement and the laws of the Russian Federation, including Law of the Russian Federation No. 2300-1 of February 7, 1992 “On Protection of Consumer Rights”. In the event of a conflict regarding paid services, the Contract prevails.

2. Definitions

• Service means the website https://studio.polyzon.org and its features.
• Tokens means the Service's internal accounting units used to pay for Operations. Tokens are not money, electronic money, digital currency, or a security.
• Token Pack (Pack) means a set number of Tokens that the Customer buys for rubles.
• Paid Tokens means Tokens received as part of a paid Pack. Bonus Tokens means Tokens received in the Service without payment to the Contractor: welcome, referral, and promotional Tokens, as well as Tokens credited under a Polyzon Plus subscription.
• Operation means a paid action in the Service: generating an image, a 3D model, or a product listing, a stage of the “3D character” wizard, an assistant reply from a precise model, and other actions at the rates set out in Section 4.
• Payment Service means the YooKassa service (NBCO YooMoney LLC) through which payments are accepted.

3. Subject of the Contract and Pack prices

3.1. The Contractor provides the Customer with a service of access to the Service's paid features in the amount of the Tokens of the paid Pack: the Contractor credits the Tokens to the balance of the Customer's Account, after which the Customer performs Operations at the rates set out in Section 4. The Customer pays for the Pack.

3.2. Pack prices:

Not subject to VAT: the Contractor applies the simplified taxation system and is exempt from the obligations of a VAT taxpayer under Article 145(1) of the Tax Code of the Russian Federation.

3.3. The price of a Pack is shown in the Service before payment and does not change after payment. Changes to Pack prices apply only to payments made after the new prices are published.

4. Rates for Operations

4.1. Each Operation is ordered separately at the rate shown in the Service next to the button that starts it. By starting an Operation, the Customer agrees to that rate. Current rates:

4.2. An assistant reply from a precise model is charged according to the amount of work the model actually performed: Tokens are deducted as the reply progresses, including if the Customer stopped the reply or it was interrupted. If the reply produced no result at all, the Tokens deducted for it are refunded in full.

4.3. The “3D character” wizard is paid for in stages: each stage deducts its share of the price before it starts.

4.4. The Contractor may change the rates for Operations and the scope of free features and limits. The Contractor announces rate increases in the Service at least 10 calendar days in advance. A Customer who does not agree with the new rates may withdraw from the Contract and receive a refund for unused Paid Tokens (Section 7).

5. Payment and crediting of Tokens

5.1. Payment is made in rubles through the Payment Service by bank card or via the Faster Payments System (SBP). Card details are entered on the Payment Service's side; the Contractor does not receive or store them.

5.2. The Customer's payment obligation is fulfilled when the Contractor receives confirmation of successful payment from the Payment Service. Tokens are credited immediately after confirmation; if crediting is delayed by more than 24 hours, the Customer reports this to support.

5.3. A cash register receipt is sent electronically to the email address provided at payment, in accordance with Federal Law No. 54-FZ of May 22, 2003 “On the Use of Cash Register Equipment”. If the Customer is an organization or an individual entrepreneur, the receipt confirms the expense; a certificate of services rendered is sent on request.

5.4. Tokens are tied to the Account, cannot be transferred to others, and do not expire while the Contract is in effect.

6. Provision of services and quality

6.1. The service under a Pack is deemed rendered when the Tokens are credited. An Operation is deemed performed when its Result is available to the Customer in the Service.

6.2. Results of Operations are created by artificial intelligence models and are probabilistic in nature (Section 5 of the User Agreement). A discrepancy between a Result and the Customer's artistic expectations, where the Operation was technically performed, is not a defect of the service.

6.3. If an Operation is not performed because of a failure or a refusal by an AI provider or the Service, the Tokens for it are automatically returned to the balance.

6.4. If a Result has a technical defect (the file is empty, corrupted, does not open, or does not match the selected mode), the Customer reports this to support within 14 calendar days, and the Contractor, at the Customer's choice, refunds the Tokens for the Operation or performs it again free of charge.

7. Withdrawal from the Contract and refunds

7.1. The Customer may withdraw from the Contract at any time (Article 32 of the Law “On Protection of Consumer Rights”, Article 782 of the Civil Code). The Contractor refunds money for unused Paid Tokens without withholding any fees.

7.2. The refund amount equals the number of unused Paid Tokens of each Pack multiplied by the price of one Token of that Pack (the Pack price divided by the number of Tokens in it). For this calculation, Bonus Tokens are deemed spent first, then Paid Tokens, starting with the earliest Pack purchased.

7.3. To request a refund, the Customer writes to the “Help” chat, to support@polyzon.org from the Account's email address, or by any other means that allows the Customer and the payment to be identified. Money is refunded by the same method used for payment within 10 calendar days of receipt of the request; a refund receipt is sent by email. The time it takes for the money to reach the account depends on the Customer's bank.

7.4. Upon refund, the refunded Tokens are deducted from the balance. The Contractor may deduct Bonus Tokens credited to other users under the referral program for the refunded purchase.

7.5. If access to the Account is terminated on the grounds set out in the User Agreement, or if the Account is deleted, money for unused Paid Tokens is refunded in the same manner at the Customer's request.

7.6. Bonus Tokens cannot be exchanged for money and are not refundable.

8. Rights and obligations of the parties

8.1. The Contractor undertakes:

• to credit Tokens after payment and perform Operations at the rates shown;
• to show the price of an Operation before it starts;
• to review inquiries and claims within the time limits set by the Contract.

8.2. The Contractor may carry out maintenance that temporarily restricts access to the Service, announcing it in advance where possible, and may suspend certain features in the cases set out in the User Agreement.

8.3. The Customer undertakes to comply with the User Agreement, to provide a valid email address for receipts, and not to share access to the Account.

9. Liability

9.1. The parties are liable for failure to perform the Contract in accordance with the laws of the Russian Federation.

9.2. The Contractor is not liable for the temporary unavailability of AI providers, the Payment Service, and telecom carriers if it did not arise through the Contractor's fault; Tokens for Operations not performed because of it are returned under clause 6.3.

9.3. If the Customer is not a consumer, the Contractor's liability is limited to actual damages in an amount not exceeding what the Customer paid during the three months before the breach.

9.4. The limitations of liability do not apply to the rights of a Customer who is a consumer that are established by mandatory rules of consumer protection legislation.

10. Personal data

The Customer's personal data is processed in accordance with the Personal Data Processing Policy. Payment data is processed by the Payment Service; the Contractor receives from it only the payment result, amount, date, and payment ID, and itself passes the email address for the receipt to the Payment Service.

11. Term and changes to the offer

11.1. The Contract remains in effect until the parties fulfill their obligations or until the Customer withdraws from the Contract.

11.2. The Contractor may change the offer. A new version takes effect upon publication at https://studio.polyzon.org/en/legal/offer and applies to payments made after publication. The Contractor announces changes that worsen the Customer's position with respect to already paid Packs at least 10 calendar days in advance; before they take effect, the Customer may withdraw from the Contract and receive a refund under Section 7.

12. Claims and disputes

12.1. Claims are sent to support@polyzon.org or to the Contractor's mailing address. The Contractor sends a reasoned response within 10 calendar days of receiving the claim, unless the law sets a different period.

12.2. Disputes are resolved under the laws of the Russian Federation. A consumer may bring an action in a court of their choice (Article 17 of the Law “On Protection of Consumer Rights”); the pre-trial claim procedure is not mandatory for them. Disputes with a Customer who is not a consumer are heard by the court at the Contractor's location.
